1. Acceptance of Terms

By accessing cortexauto.com or joining our waitlist, you agree to these Terms of Service ("Terms"). If you don't agree, please don't use the site.

2. Who We Are

CortexAuto is an early-stage vehicle-diagnostics platform being developed by CortexAuto UAB (company formation in progress, Lithuania). References to "we," "our," or "us" mean CortexAuto.

3. Waitlist Only, Not a Product Offer

Joining the waitlist simply records your interest and email address. It does not create any obligation for us to grant access, deliver hardware, or provide services at a future date.

4. Your Responsibilities

You agree to:

• Provide a valid email address that you control
• Keep your contact information accurate and up-to-date
• Use the service in compliance with all applicable laws
• Not share access credentials with unauthorized users
• Report any security vulnerabilities or suspicious activities
• Not upload malware or attempt unauthorized access
• Not scrape or harvest data
• Not interfere with or disable security features
• Not use our name, logo, or content without written permission
• Not create derivative works based on our intellectual property
• Not remove any copyright, trademark or other proprietary notices

5. Intellectual Property

All content on this site—including graphics, copy, animations, and code—is owned by CortexAuto and protected by copyright law. You may not reproduce or reverse-engineer any part without written permission. All trademarks, service marks, logos, and trade names are the exclusive property of CortexAuto or its licensors.

6. Prohibited Uses

You may not use the Service to:

• Send unsolicited communications (spam)
• Harvest or collect data through automated means
• Attempt to gain unauthorized access to our systems
• Conduct security testing without explicit permission
• Impersonate another person or entity
• Upload or transmit malware or other harmful code

7. Disclaimer

This site and all information are provided "as-is" for informational purposes only. They are not professional repair advice and must not be relied upon to diagnose or fix a vehicle. We do not warrant that the service will be error-free, uninterrupted, or free from security vulnerabilities.

8. Limitation of Liability

To the fullest extent allowed by law, CortexAuto will not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of the site. Our maximum liability to you, regardless of the form of action, shall not exceed the greater of €100 or the amount you paid us, if any, in the past 12 months.

9. Indemnity

You agree to indemnify and hold CortexAuto harmless from any claim, demand, damages, or expenses (including reasonable attorney fees) arising out of your breach of these Terms, your User Content, or your violation of any rights of another.

10. Governing Law

These Terms are governed by the laws of Lithuania, without regard to its conflict of law principles. Any disputes will be handled exclusively in the courts of Vilnius, Lithuania. You hereby consent to the personal jurisdiction of such courts. Before filing any claim you agree to attempt informal resolution by emailing privacy@cortexauto.com; if unresolved after 30 days, either party may proceed to court.

11. Minimum Age

You must be at least 16 years old (or the age of digital consent in your country) to use this site. By joining the waitlist you confirm you meet this requirement. If you are under 18 you confirm that a parent or guardian agrees to these Terms on your behalf.

12. Suspension / Termination

We may suspend or remove your access—including your waitlist entry—at any time and for any reason (for example, breach of these Terms or suspected abuse). Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

13. Third-Party Links & Services

The site may link to or integrate third-party content (e.g. social media, analytics). We don't control these providers and aren't responsible for their content or privacy practices. Your interactions with such third parties are subject to their terms and privacy policies, not ours.

14. Force Majeure

We're not liable for delays or failures caused by events outside our reasonable control (for example, natural disasters, power outages, war, government action, Internet disruptions, pandemics, or acts of terrorism).

15. Email & Marketing Communications

By joining our waitlist, you consent to receive emails about your position, product updates, and launch information. You can unsubscribe from marketing emails at any time by clicking the unsubscribe link or contacting us. By providing your email, you agree that we may send you service-related notices, including those regarding changes to these Terms, by email.

16. Analytics & Cookies

We use analytics tools and cookies to understand how visitors interact with our site. These tools collect anonymized data about your browsing behavior to help us improve the user experience. You can adjust cookie preferences in your browser settings or through our Cookie Preferences center.

17. Severability

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

18. No Waiver

Our failure to enforce any right or clause of these Terms shall not be considered a waiver of such right or clause. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CortexAuto regarding the website and supersede all prior and contemporaneous written or oral agreements, representations, and understandings between you and us.

20. Changes

We may update these Terms. For material changes we'll give 30 days' notice on the site and via email (if you're on the waitlist). Continued use after that date means you accept the new Terms. Changes addressing new functions or made for legal reasons may take effect immediately.
